What is a Special Purpose Vehicle (SPV) and why does it matter?

To enable fractional ownership, each investment property on PRYPCO Blocks is held through a dedicated legal structure known as a Special Purpose Vehicle (SPV).

This structure defines how ownership is recorded, protected, and managed.

As a result, the title deed is registered in the name of the SPV, not individual investors.


What is an SPV?

A Special Purpose Vehicle (SPV) is a separate legal company created to own and manage a single property. On PRYPCO Blocks, each property is held within its own SPV. This means:

  • Every property is legally independent

  • Ownership is clearly structured and documented

  • Investors participate through shares in the SPV

When you invest, you purchase Blocks, which represent your shareholding in the SPV that owns the property.

Your ownership is legally recorded through:

  • The SPV’s shareholder records

  • Your PRYPCO Blocks investment portfolio


How ownership works

  • The SPV is the legal owner of the property and appears on the title deed

  • Investors do not own the property directly

  • When you invest, you purchase Blocks, which represent your shareholding in the SPV that owns the property

  • Your ownership percentage depends on the number of Blocks you hold

Why the title deed is under the SPV

Holding the property under an SPV:
